1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Client,” “you,” or “your”) and Continuous Technology Private Limited (“Continuous Technology,” “we,” “our,” or “us”).

By accessing our website (continuoustech.in), submitting an inquiry, or engaging our services to design, build, deploy, or operate AI agents and automation systems, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or services.

2. Services & Scope of Engagements

Continuous Technology provides AI systems integration, autonomous agent architecture, voice and messaging automation, on-premises deployments, and software consulting services (“Services”).

Specific deliverables, project milestones, infrastructure specifications, and commercial arrangements are defined in mutually executed Statements of Work (SOW), Master Services Agreements (MSA), or Service Level Agreements (SLA). In the event of any conflict between these general Terms and an executed SOW/MSA, the executed agreement will govern.

3. Client Responsibilities & Acceptable Use

When utilizing our AI agent systems or communication infrastructure, you agree to:

  • Legal Compliance: Comply with all applicable telecommunications laws, local privacy regulations, anti-spam statutes, and Do-Not-Call (DNC) registry requirements in the jurisdictions where your automated calls, SMS, or messages are directed.
  • Caller & Recipient Consent: Ensure you have obtained proper prior consent or authorization from end-users before initiating automated outbound calls, messages, or marketing campaigns.
  • Prohibited Conduct: Refrain from using our systems for fraudulent activities, phishing, unlawful surveillance, transmitting malicious code, generating deceptive communications, or harassing individuals.
  • Credential Security: Maintain the confidentiality of administrative logins, API tokens, and webhook secrets provisioned for your deployments.

4. Intellectual Property Rights

Continuous Technology IP: All proprietary software architectures, pre-built agent frameworks, integration connectors, website content, trademarks, and documentation remain the exclusive intellectual property of Continuous Technology Private Limited.

Client Data & Ownership: You retain complete ownership of your proprietary business data, customer records, brand assets, trade secrets, and bespoke workflows provided to us. We claim no ownership over your data.

5. AI System Behavior & Human Supervision

Artificial Intelligence models and large language models (LLMs) generate responses based on probabilistic data. While we design robust deterministic guardrails, structured validation layers, and fallback logic:

  • AI agents should be operated with appropriate Human-in-the-Loop (HITL) supervision for high-stakes, legally binding, medical, or financial workflows.
  • Clients are responsible for reviewing and approving the operational prompts, knowledge base documentation, and decision guidelines provided to their agents.

6. Third-Party Platforms & Model Providers

Our solutions may integrate with third-party software providers, including telephony carriers, CRM platforms, calendar systems, and AI model endpoints (e.g., OpenAI, Anthropic, Twilio).

Your use of such third-party services is subject to their respective terms and policies. We are not liable for outages, API deprecations, or service changes originating from external third-party providers.

7. Confidentiality

Both parties agree to treat all non-public business, technical, financial, and operational information disclosed during discussions or project delivery as strictly confidential. Neither party will disclose confidential information to third parties without prior written consent, except to authorized employees or subcontractors bound by equivalent obligations.

8. Commercial Terms & Invoicing

Fees for custom builds, monthly maintenance, telephony consumption, or server hosting are set forth in the applicable proposal, SOW, or invoice. Invoices are payable within the timeframe specified therein. Any applicable government taxes (including GST) will be itemized on the invoice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business interruption) arising out of or related to these Terms or the Services.

Our total cumulative liability for direct claims arising out of an engagement shall be capped at the total amount paid by the Client to Continuous Technology under the specific Statement of Work during the three (3) months preceding the event giving rise to liability.

10. Termination

Either party may terminate an engagement or access to Services in accordance with the termination clauses of the active Statement of Work, or immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice.

11. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India. The courts having jurisdiction over our registered corporate operations in India shall have exclusive jurisdiction to settle any disputes.

12. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Changes will become effective upon being posted on this page with an updated “Last updated” timestamp. Continued use of our website or services after such updates constitutes acceptance of the modified Terms.
